XTO Energy Inc. Announces Purchase of $1.982 Billion Principal Amount of Its Debt Securities

IRVING, Texas--(BUSINESS WIRE)-- XTO Energy Inc. ("XTO"), a wholly owned subsidiary of Exxon Mobil Corporation ("ExxonMobil") (NYSE: XOM), announced today that the previously announced cash tender offers (each, an "Offer") for any and all of its outstanding debt securities in the series specified in the table below (the "Securities") expired at 5:00 p.m., New York City time, on December 16, 2010. After the expiration of the Offers, XTO accepted for purchase all of the Securities which were validly tendered and not validly withdrawn prior to the expiration of the relevant Offer, representing a total aggregate principal amount of approximately $1.982 billion. Payment for Securities purchased pursuant to the Offers was made to The Depository Trust Company, as registered holder of the Securities, earlier today. XTO funded the purchase of the Securities with available cash on hand and inter-company borrowings from its parent, ExxonMobil.

Barclays Capital Inc. and J.P. Morgan Securities LLC served as Dealer Managers for the Offers. Global Bondholder Services Corporation served as the Information Agent and the Depositary for the Offers.
