(1) Inclusive Capital Partners, L.P., a Delaware limited partnership ("In-Cap"), serves as the investment manager to certain funds which hold the shares of common stock covered by this Form 144. Jeffrey W. Ubben, a Founder and Managing Partner of In-Cap, is a member of the board of directors of the Issuer. (2) The shares reported herein to be sold were acquired in the open market on dates ranging from January 25, 2021 to November 6, 2023.
